1. Acceptance of Terms

You (hereinafter referred to as "You" or "User") desire to utilize the services offered by FileHub Tools ("FileHub Tools," "we," "us," or "our") at filehub.tools (the "Site"), and in consideration of said usage, by using the Site, you agree to be bound by these Terms of Use ("Terms"). These Terms, together with our Privacy Policy ("Agreements"), constitute the entire agreement between you and FileHub Tools regarding the Service.

You acknowledge that you have read and understood these Agreements and agree to be bound by them. If you do not agree, you may not use the Service.

2. Eligibility

You must be at least 13 years of age to access or use the Service. By using the Service, you represent and warrant that you are at least 13 years old.

If you are between 13 and 18 years of age, you represent that you have obtained the permission of a parent or legal guardian, and that your parent or legal guardian has reviewed and agreed to these Terms on your behalf.

We do not knowingly permit children under 13 to use the Service. If we become aware that a user is under 13, we will take steps to restrict their access. If you believe a child under 13 is using the Service, please contact us at support@filehub.tools.

3. Description of Service

FileHub Tools provides browser-based image processing tools including image compression and format conversion (collectively, the "Services"). All image and file processing performed by the Services occurs entirely within your web browser on your local device. No files are uploaded to, stored on, or transmitted to any server operated by FileHub Tools.

The Service does not currently require any registration or fees for usage, and therefore your usage alone is an express acknowledgement and agreement to all Terms herein.

FileHub Tools reserves the absolute right to begin charging fees and to introduce paid features, subscription tiers, or premium plans at any time. Any such changes will be communicated through the Service or by posting updated Terms. Your continued use following such notice constitutes acceptance.

4. User Conduct

Users are solely responsible for their use of the Services. FileHub Tools reserves the right, in its sole and absolute discretion, to take appropriate action including removing access if you take actions that FileHub Tools deems to violate any law, regulation, or these Terms.

You hereby agree not to use the Site and/or Services in any unlawful or improper manner, including but not limited to:

Using the Service in relation to content that infringes any intellectual property or other proprietary rights of any party
Using the Service in relation to content that contains software viruses or other malicious code
Using the Service in relation to content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, hateful, or racially or ethnically objectionable
Taking any action that disrupts or interferes with the Site, Service, or servers
Attempting to probe, scan, or test the vulnerability of the Service
Using any robot, spider, scraper, or other automated means without our prior written permission
Attempting to gain unauthorized access to any part of the Service
Taking any action that violates any applicable local, state, national, or international law or regulation

5. Personal and Commercial Use

The Site and Services are available for your personal or commercial use, subject to these Terms. You agree not to display, distribute, license, perform, publish, reproduce, duplicate, copy, create derivative works from, modify, sell, resell, exploit, transfer, or upload any portion of the Services for any purpose not expressly permitted by these Terms without our prior written permission.

6. Intellectual Property

All content on the Service — including but not limited to text, graphics, logos, user interface elements, code, and design — is the property of FileHub Tools or its licensors and is protected by United States and international copyright and other intellectual property laws. All rights reserved.

The FileHub Tools name and logo are proprietary to FileHub Tools and are protected by copyright. All rights reserved. You may not use the FileHub Tools name or logo without our prior written permission.

You own your files. You retain full ownership of any files, images, or content you process using the Service. FileHub Tools claims no ownership over your content. Because all processing occurs locally in your browser, your content is never transmitted to or accessed by us.

7. Feedback

You may provide FileHub Tools with information and feedback concerning errors, suggestions, ideas, problems, complaints, and other matters related to the Service ("Feedback") by contacting us at support@filehub.tools. You acknowledge and agree that: (i) you shall not retain, acquire, or assert any intellectual property or other right in or to the Feedback; (ii) FileHub Tools may have development ideas similar to the Feedback; (iii) Feedback does not contain confidential or proprietary information from you or any third party; and (iv) FileHub Tools is not under any obligation of confidentiality with respect to the Feedback.

8. Advertising

The Service is supported by third-party advertising. By using the Service, you acknowledge and agree that advertisements may be displayed to you. FileHub Tools is not responsible for the content of third-party advertisements. Clicking on third-party advertisements may direct you to external websites governed by their own terms and privacy policies.

9. Third-Party Services and Links

The Service uses the following third-party services, each of which collects and processes data independently according to its own privacy policy:

Google Analytics — used to collect usage data. Governed by Google's Privacy Policy.
Google AdSense — used to serve third-party advertisements. You may opt out of personalized advertising at adssettings.google.com.
Hostinger — provides hosting infrastructure. Governed by Hostinger's Privacy Policy.

FileHub Tools is not responsible for the data collection, storage, use, or disclosure practices of these third parties. You acknowledge and agree that FileHub Tools shall not be responsible or liable, directly or indirectly, for any damage or loss caused by or in connection with the use of or reliance on any content, goods, or services available on or through any third-party websites or services.

10. Disclaimer of Warranties

YOUR USE OF THE SITE AND SERVICES IS AT YOUR SOLE RISK. THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. FILEHUB TOOLS EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

FILEHUB TOOLS MAKES NO WARRANTY THAT: (i) THE SERVICES WILL MEET YOUR REQUIREMENTS; (ii) THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (iii) THE RESULTS OBTAINED FROM USE OF THE SERVICES WILL BE ACCURATE OR RELIABLE; OR (iv) ANY ERRORS IN THE SERVICES WILL BE CORRECTED.

11. Limitation of Liability

EXCEPT AS PROHIBITED BY LAW, YOU WILL HOLD FILEHUB TOOLS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS HARMLESS FOR ANY INDIRECT, PUNITIVE, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGE ARISING FROM THIS AGREEMENT.

EXCEPT AS PROHIBITED BY LAW, OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED ONE HUNDRED US DOLLARS (USD $100.00).

12. Indemnification

You agree to release, defend, indemnify, and hold harmless FileHub Tools and its officers, employees, directors, and agents from any and all losses, damages, expenses, including reasonable attorneys' fees, rights, claims, and actions of any kind arising out of or relating to: your use of the Site and/or Services; any content you process or distribute using the Service; your connection to the Service; your violation of these Terms; or your violation of any rights of another person or entity.

13. Dispute Resolution and Arbitration

PLEASE READ THIS SECTION CAREFULLY — IT AFFECTS YOUR LEGAL RIGHTS.

Informal Resolution. Before filing any formal legal claim, you agree to contact us at support@filehub.tools and attempt to resolve the dispute informally. We will attempt to resolve the dispute within 30 days of receiving written notice.

Binding Arbitration. If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be finally resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in court. The arbitration shall take place in the United States. The arbitrator's decision shall be final and binding.

Class Action Waiver. All arbitration or proceedings shall be conducted individually. You waive any right to participate in a class action lawsuit or class-wide arbitration.

Exceptions. Either party may seek emergency injunctive relief from a court of competent jurisdiction to prevent irreparable harm pending arbitration.

14. Governing Law and Venue

These Terms shall be governed by and construed in accordance with the laws of the United States and the state in which FileHub Tools maintains its principal place of business, without regard to conflict of law provisions. To the extent any dispute is not subject to arbitration, you hereby submit to the exclusive jurisdiction of the federal and state courts located within the United States.

15. Changes to Service and Terms

FileHub Tools reserves the right to withdraw or amend the Service, and any service or material provided via the Service, in its sole discretion without notice. FileHub Tools also reserves the right to amend these Terms at any time by posting the amended Terms on this Site. It is your responsibility to review these Terms periodically. Your continued use of the Service following the posting of revised Terms means you accept and agree to the changes.

16. Termination

FileHub Tools may terminate or suspend your access to the Service immediately, without prior notice or liability, at its sole discretion, for any reason, including but not limited to a breach of these Terms. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

17. Force Majeure

FileHub Tools shall not be liable for any failure or delay in performance under these Terms due to causes beyond its reasonable control, including but not limited to acts of God, natural disasters, terrorism, war, civil unrest, government action, labor disputes, power failures, internet service interruptions, cyberattacks, or pandemic.

18. Assignment

You may not assign, transfer, or sublicense any rights or obligations under these Terms without our prior written consent. FileHub Tools may assign or transfer these Terms, in whole or in part, without restriction, including in connection with a merger, acquisition, reorganization, or sale of assets.

19. Waiver and Severability

No waiver by FileHub Tools of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition. Any failure by FileHub Tools to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of these Terms will continue in full force and effect.

20. Headings

The section headings used in these Terms are for convenience and reference only and shall not affect the interpretation of these Terms.

21. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and FileHub Tools regarding the Service and supersede all prior agreements, understandings, negotiations, and discussions, whether oral or written.
